Samsung наращивает прибыльность своего бизнеса и отклоняет предложение о преобразовании в холдинг



Сегодня крупнейший южнокорейский конгломерат Samsung отчитался о своих финансовых успехах за 1-й квартал 2017. Согласно опубликованным данным, прибыль, полученная за этот период, составила $8,76 миллиарда, что на 46% больше, чем годом ранее, и на 7% больше, чем в предыдущем квартале. Это лучший результат с 2013 года, когда была зафиксирована максимальная прибыль.
Основными драйверами роста выступили подразделения по выпуску полупроводников и дисплеев. Производство бытовой техники и смартфонов показало примерно те же цифры, что и в прошлом году, хотя мобильное подразделение немного "просело" из-за отсутствия свежего флагмана (как известно, Galaxy Note был отозван из-за проблем с аккумуляторами, что повлекло убытки в подразделении Samsung SDI) и снижения цен на прошлогодний флагман Galaxy S7/S7 edge.
2-й квартал должен значительно укрепить позиции Samsung в связи с рекордным спросом на только что вышедшие смартфоны Galaxy S8/S8+, а также повышенный спрос на полупроводники и OLED-дисплеи.
Помимо традиционных "дойных коров", Samsung планирует расширить свой бизнес, включая интеллектуальные домашние гаджеты, искусственный интеллект и Интернет вещей (IoT), что также повысит доходность в обозримой перспективе, сообщает телеканал ARIRANG News.
Одновременно стало известно, что руководство Samsung отклонило предложение американского фонда Elliott Management (одного из акционеров), предложившего преобразовать конгломерат в холдинговую компанию.
"После проведения всеобъемлющего анализа с помощью внешних консультантов, совет директоров корпорации принял решение отказаться от конвертирования Samsung в холдинг... Это не укрепит конкурентоспособность и потенциально может негативно отразиться на бизнесе в долгосрочной перспективе", - заявили сегодня высокопоставленные представители Samsung корреспонденту бизнес-издания The Investor.
Существующая система устойчива и показывает неуклонный рост, поэтому в Samsung не видят основания для реорганизации управляющей и производственной структуры.
Ранее Elliott Management аргументировал своё предложение тем, что структура управления многочисленными подразделениями Samsung довольно запутана, что неудобно для ряда акционеров. Это якобы делает бизнес конгломерата "недостаточно прозрачным". Однако всестороннее изучение работы  подразделений Samsung и их взаимодействия между собой не вызвало замечаний со стороны независимых исследовательских компаний, приглашённых для проведения аудита.

Samsung Electronics’ Q1 net profit up 46%

Samsung Electronics said on April 27 its first-quarter net profit shot up 46.29 percent from a year earlier.
Net profit came to 7.68 trillion won (US$6.78 billion) in the January-March period, Samsung said in a regulatory filing.
Operating profit reached 9.89 trillion won, also up 48.27 percent from a year earlier. Sales increased 1.54 percent on-year to reach 50.5 trillion won over the cited period.
Samsung’s operating income was roughly in line with its earlier estimate of 9.9 trillion won. The company attributed its strong performance to expanded sales of premium memory chips.
By sector, the device solution business posted an operating profit of 7.59 trillion won, with the semiconductor sector accounting for 6.31 trillion won by increasing 3.68 percent on-year. It marks the highest performance ever posted by the chip sector. 
The display panel division of the DS business held an operating profit of 1.3 trillion won. 
The IT-mobile division posted an operating profit of 2.07 trillion won, down 1.83 percent on-year due to the decreased sales price of its flagship Galaxy S7 smartphone.
The consumer electronics division posted an operating profit of 380 billion won, also down 0.12 percent on-year.

Samsung rejects Elliott’s demand to set up holding firm

Tech giant Samsung Electronics said on April 27 that it has decided not to set up a holding company, turning down requests made by some of its global investors, such as Elliott Management, to improve the intricate corporate structure of Samsung Group and enhance shareholder value.
“After conducting a comprehensive review with external advisors, the company’s board of directors has decided not to convert to a holding company structure,” the tech giant said in a statement.
“A holding company structure would not strengthen the competitiveness of the company’s businesses and could potentially weigh on the company’s operations in the long term.”
The company explained that the establishment of a holding company requires divestment of equity stakes held by itself and its affiliates -- a process that needs the approval of shareholders and BOD of the related companies. 
The financial business arms of Samsung Group will also have to divest part or all of its stake in the tech firm according to the Korean financial laws and that could pose a great risk to the stock price of the tech firm, the company said.
In November, Samsung Group announced that it would review ways to streamline its complex governing structure, which included the foundation of a holding company of the electronics firm.
After the imprisonment of Samsung Vice Chairman Lee Jae-yong and disbandment of the conglomerate’s control tower, both in February, the drive to set up a holding firm lost momentum.
The latest decision to maintain the status quo came as the stock price has been rising in recent months thanks to the robust chip and display businesses. 
“Samsung seems to have found no reason to make an abrupt change in its management structure as its three business pillars of home appliances, electronic parts and mobile devices are excelling in the current system,” said an industry source who wished to be unnamed. 
The tech behemoth posted 9.9 trillion won (US$8.76 billion) operating profit in the first quarter, up from 6.68 trillion won last year. Its revenue came in at 50.55 trillion won, up from 49.78 trillion won. The robust sales of memory chips and OLED displays have driven profits in the period.
