Экс-акционеры Harman поняли бесперспективность своих претензий по вопросу сделки с Samsung



В январе текущего года группа акционеров американского конгломерата Harman International подала коллективный иск против исполнительного директора и президента компании Динеша Паливала (Dinesh Paliwal) и других членов совета директоров.
Акционеры утверждали, что решение руководства Harman International о продаже компании южнокорейскому гиганту Samsung Electronics было заключено без учёта интересов акционеров. Правление Harman было обвинено в том, что оно якобы не искало других покупателей, изначально остановив свой выбор на Samsung.
Сегодня стало известно, что после 7-ми месяцев судебных слушаний коллективный иск был оставлен без рассмотрения. Акционеры, проанализировав ситуацию, поняли, что 8 миллиардов долларов США, которые Samsung отдал за Harman, являются вполне удовлетворительной суммой. К тому же рекордные показатели южнокорейского техногиганта, обошедшего по прибыли Apple и ставшего самой доходной нефинансовой компанией мира, вселили в них дополнительную уверенность в светлом будущем альянса. Ранее в прессе сообщалось, что Samsung выкупал акции Harman с большой дополнительной наценкой, и это не могло не удовлетворить абсолютное большинство держателей ценных бумаг крупнейшего американского производителя аудиотехники, которые, в итоге, подавляющим числом голосов утвердили слияние.
Стало совершенно очевидно, что претензии "бунтавщиков-отщепенцев" удовлетворены не будут. Общие затраты на судебные тяжбы составили 195.000 долларов.

Harman shareholders drop lawsuit against merger with Samsung

Harman International shareholders have dropped a class action lawsuit against the directors of the company for selling the US auto parts maker short to Samsung Electronics, according to sources on Aug. 1.
The group of shareholders filed the suit in January with the Delaware Chancery Court against Harman CEO and President Dinesh Paliwal and other directors after Harman’s top executives agreed on the deal to sell the US firm to Samsung for 9 trillion won (US$8 billion) in November 2016.
The shareholders accused the Harman execs for failing to seek potential buyers other than Samsung to raise the takeover price and to provide adequate information of the acquisition deal, among others.
After the seven-month long legal battle, the Harman shareholders have accepted the arbitration of the court, according to sources. The legal fees spent for the lawsuit so far, at around US$195,000, will be covered by the Connecticut-based automotive tech firm.
“The Harman shareholders may have thought the merger with Samsung, one of the world’s largest chip, display and electronics firms, was not a bad idea after all,” said a market watcher said. 
The 9-trillion-won acquisition deal is line with the Korean tech giant’s efforts to expand its role in the connected automotive market.
Harman operates as a standalone subsidiary of the Korean firm and is still led by CEO Paliwal.

Samsung и ведущая британская коммуникационная компания Arqiva на днях сообщили о пробном запуске сети ультраскоростной мобильной связи 5G в центре столицы Великобритании.
Arqiva выбрала сетевое решение Samsung 5G, поскольку оно считается одним из наиболее передовых в отрасли. Британский партнёр использовал свой частотный спектр 28ГГц (mmWave) и систему 5G FWA, состоящую из 3-х компонентов (Unit Radio Access, CPE и Samsung Virtualized Core).
Испытания будут проводиться в течение 4-х месяцев, а участвовать в них намерены как обычные пользователи мобильных устройств, так и правительственные чиновники, пожелавшие оценить все преимущества сверхвысокой передачи данных.
Британская пресса утверждает, что страна намерена стать лидером в развитии сетей 5G, которые позволят сэкономить значительные средства при подключении домов к высокотехнологичным услугам (4K-телевидение, "умный дом", охранные системы и т.д.), так как 5G не требует подведения к зданиям оптоволоконных линий. Кроме того, развитие сетей связи 5-го поколения жизненно важно для таких сегментов как роботизированные предприятия, автомобили с автономным управлением, безопасность дорожного движения, виртуальная и дополненная реальность.

Arqiva and Samsung Kick off UK’s First 5G Fixed Wireless Access Trial

Technology now available for demonstration in Arqiva’s central London headquarters

Following a statement of intent in February, leading UK communications infrastructure company Arqiva and Samsung Electronics have today announced that the first field trial of 5G Fixed Wireless Access (FWA) technology in the UK and Europe is now live in central London.
Powered by Samsung’s 5G network solution and customer premises equipment (CPE), and using Arqiva’s 28GHz millimetre wave (mmWave) spectrum, the 5G FWA system consists of three main components:
A Radio Access Unit located on the rooftop of Arqiva’s Fitzrovia office wirelessly links to an easily installable CPE – or router – located by a window inside Arqiva’s nearby headquarters. Samsung’s system – which implements intelligent beam-forming technology and high-frequency mmWave spectrum – then provides high bandwidth connectivity. In commercial implementations, the compact access unit can be mounted on lampposts or similar street furniture to provide reliable gigabit-per-second service to neighbourhoods and businesses alike. The final component is Samsung’s virtualized core – responsible for managing user connections and data routing from Arqiva’s network to the internet – which is running on Arqiva’s data centre servers.
The primary aim of the trial is to demonstrate the stability of the FWA service, and its potential as a fast-to-market and cost-effective alternative to fibre for connectivity to homes and businesses. Despite a link distance of several hundred meters, the system has established a stable two-way mmWave link with downlink speeds of around 1Gb per second at the CPE. Allowing for simultaneous streaming of more than 25 UHD 4K TV channels as an illustration, this more than meets the needs of today’s typical household with considerable room for future growth.
As the trial progresses, both companies look forward to further maximising the performance capability of the system, improving the value of future network infrastructure and spectrum investments.
Paul Kyungwhoon Cheun, Executive Vice President and Head of the Next Generation Communications Business Team at Samsung Electronics, said: “One of the most exciting prospects that 5G is expected to bring to the table is the exploration of powerful new use cases outside of traditional smart device mobile connectivity. Our trial efforts with Arqiva give us the chance to demonstrate this first hand, and we view this demonstration as a door-opener for new and compelling connected service opportunities in the UK, Europe and worldwide.”

This trial will be particularly interesting for this audience as it looks to a future of ubiquitous UHD, and the file sizes that go with it.”
The showcase consists of a series of six stations. These include an overview of FWA technology and how it works, examples of 5G use cases, demonstrations of 4K UHD and Virtual Reality (VR) content streaming, and a look at possible applications of 5G in the future.
The trial will run for a four-month period, during which time anticipated visitors include representatives from the UK Government, Mobile Network Operators (MNOs), Fixed Network Operators, media companies, analysts and more. There are also plans to extend the trial’s coverage to additional nearby buildings over its duration.

Samsung готовит к выпуску новый смартфон в форм-факторе раскладушки с модельным номером SM-G9298. Профильный ресурс SlashLeaks поделился живыми фотографиями модели, найденными на просторах Weibo, китайского аналога Twitter.
Смартфон оснащается двумя 4,2-дюймовыми дисплеями с разрешением Full HD (1920 х 1080 пикселей) и поддержкой функции Always-On-Display, 12-мегапиксельной основной и 5-мегапиксельной фронтальной камерами. За вычисления отвечает прошлогодний Qualcomm Snapdragon 821 в сочетании с 4Гб ОЗУ и 64Гб встроенной флэш-памяти. Ёмкость аккумулятора составляет 2300 мАч. Также имеются беспроводная зарядка и поддержка платёжного сервиса Samsung Pay. В качестве ОС фигурирует Android 6.0 Marshmallow.
Как обычно новая "раскдадушка" предназначена для азиатского рынка, прежде всего китайского. Появления этой модели в других регионах не ожидается.
